Introduction and Acceptance of Terms

Welcome to TickrPulse. These Terms of Service ("Terms", "Agreement") constitute a legally binding contract between you ("User", "you", "your") and TickrPulse ("Company", "we", "us", "our"). By accessing, browsing, registering for, or using the TickrPulse platform, website, mobile application, API, or any related services (collectively, the "Service" or "Platform"), you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, including all policies referenced herein. If you do not agree with any part of these Terms, you must immediately cease all use of the Service. Your continued use of the Platform after any modifications to these Terms constitutes your acceptance of such changes. We reserve the right to update, modify, or replace any part of these Terms at our sole discretion, and it is your responsibility to review these Terms periodically. These Terms apply to all visitors, registered users, subscribers, and anyone who accesses or uses the Service in any manner. Certain features or services may be subject to additional terms, conditions, or policies, which are incorporated by reference into these Terms. IMPORTANT: PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE SERVICE. THESE TERMS CONTAIN A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. BY USING THE SERVICE, YOU AGREE TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION AND WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS, AS DESCRIBED IN THE DISPUTE RESOLUTION SECTION BELOW.

Definitions

For the purposes of these Terms, the following definitions apply: "Account" means a registered user account on the Platform, including all associated login credentials, profile information, preferences, and subscription details. "Content" means all text, data, charts, graphs, visualizations, alerts, notifications, analyses, anomaly detections, market data, news feeds, and any other information or materials available through the Service. "Market Data" means financial market information including but not limited to stock prices, cryptocurrency prices, forex exchange rates, commodity prices, index values, bond yields, trading volumes, historical data, and any derived calculations or visualizations thereof, sourced from third-party data providers. "AI Features" means all artificial intelligence, machine learning, algorithmic, and automated analysis features of the Platform, including but not limited to anomaly detection, pattern recognition, sentiment analysis, smart alerts, and any other automated analytical capabilities. "Subscription" means a paid plan that grants access to specific features and tiers of the Service, as described on our pricing page. "Third-Party Data Providers" means any external data sources, financial exchanges, market data vendors, news agencies, or other entities from which TickrPulse obtains Market Data. "User Content" means any data, information, settings, watchlists, journal entries, notes, preferences, or other content that a User creates, uploads, or stores through the Platform. "Intellectual Property" means all patents, copyrights, trademarks, trade secrets, trade dress, proprietary algorithms, source code, designs, logos, and any other intellectual property rights associated with the Platform. "Personal Data" has the meaning given under the EU General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), or the Israeli Privacy Protection Law, as applicable. "Force Majeure Event" means any event beyond the reasonable control of a party, including but not limited to acts of God, natural disasters, pandemics, cyberattacks, third-party service failures, exchange outages, government actions, and internet infrastructure failures.

Eligibility

You must be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction (whichever is greater), to use the Service. By creating an Account or using the Platform, you represent and warrant that: (a) you are at least 18 years old or the age of legal majority in your jurisdiction; (b) you have the legal capacity and authority to enter into this Agreement; (c) you are not prohibited from using the Service under any applicable law, regulation, or sanction; (d) your use of the Service does not violate any applicable law or regulation in your jurisdiction; (e) any information you provide to us is accurate, current, and complete; and (f) you will maintain and promptly update your Account information to keep it accurate and complete. If you are using the Service on behalf of an organization, company, or other legal entity, you represent and warrant that you are authorized to bind such entity to these Terms, and references to "you" or "your" in these Terms shall include both the individual user and the entity. TickrPulse reserves the right to refuse service, terminate accounts, or restrict access to any user at our sole discretion, without notice and without liability, for any reason including but not limited to suspected fraud, violation of these Terms, or compliance with applicable laws or sanctions.

Account Registration and Security

To access certain features of the Service, you must create an Account by providing accurate, current, and complete registration information. You are solely responsible for: (a) maintaining the confidentiality and security of your login credentials, including your password, API keys, and any authentication tokens; (b) all activities that occur under your Account, whether or not authorized by you; (c) immediately notifying TickrPulse at security@tickrpulse.io of any unauthorized access to or use of your Account or any other breach of security; (d) ensuring that your Account information remains accurate and up to date; and (e) not sharing your Account credentials with any third party. You agree to use strong, unique passwords and to enable multi-factor authentication when available. You acknowledge that TickrPulse cannot and will not be liable for any loss or damage arising from your failure to comply with these security obligations. Each Account is for a single user only, and sharing login credentials between multiple individuals is strictly prohibited. TickrPulse reserves the right to suspend or terminate any Account that we reasonably believe has been compromised, is being used fraudulently, or is in violation of these Terms. We may also require additional identity verification at any time to protect the integrity of the Service.

Description of the Service

TickrPulse is a financial market data visualization, analysis, and monitoring platform. The Service provides users with tools to view, analyze, scan, filter, and receive alerts about financial market data across multiple asset classes including stocks, cryptocurrencies, forex (foreign exchange), commodities, indices, and bonds. Key features of the Platform include, but are not limited to: (a) real-time and delayed market data visualization and charting; (b) market scanning and filtering tools; (c) AI-powered anomaly and unusual movement detection; (d) customizable price, volume, and indicator alerts; (e) market heatmaps and sector visualizations; (f) backtesting capabilities for analyzing historical market data; (g) portfolio tracking tools; (h) trading journal for documenting and analyzing trades; (i) news aggregation and AI sentiment analysis; and (j) demo/paper trading simulation. The Service is designed to provide informational tools for market analysis and data visualization. The Platform is provided as a technology tool to help users organize, visualize, and analyze publicly available market data. The features and availability of the Service may change from time to time at our sole discretion, and we reserve the right to add, modify, or remove any feature without prior notice.

Subscription Plans and Billing

TickrPulse offers various subscription plans with different features and pricing tiers, as described on our pricing page. By subscribing to a paid plan, you agree to pay the applicable fees in accordance with the billing terms presented at the time of purchase. All prices are quoted in United States Dollars (USD) unless otherwise specified. Subscription fees are billed in advance on a recurring monthly basis. You authorize TickrPulse to charge your designated payment method for all fees and charges applicable to your subscription. TickrPulse reserves the right to change subscription pricing at any time. Price changes will be communicated to existing subscribers at least thirty (30) days before they take effect. Your continued use of the Service after a price change constitutes acceptance of the new pricing. If you do not agree with a price change, you must cancel your subscription before the new pricing takes effect. All fees are exclusive of applicable taxes, levies, or duties imposed by taxing authorities, and you are responsible for the payment of all such taxes, levies, or duties associated with your subscription, excluding only taxes based on TickrPulse's net income. Failure to pay subscription fees may result in suspension or termination of your access to paid features. TickrPulse is not responsible for any fees charged by your bank, credit card company, or payment processor in connection with your subscription.

Free Trial

TickrPulse may offer a free trial period for certain subscription plans. The duration and terms of any free trial will be specified at the time of sign-up. During the free trial period, you will have access to the features included in the applicable subscription plan at no charge. Unless you cancel your subscription before the end of the free trial period, your subscription will automatically convert to a paid subscription, and your designated payment method will be charged the applicable subscription fee. It is your sole responsibility to cancel before the trial period expires if you do not wish to continue with a paid subscription. TickrPulse reserves the right to modify, suspend, or terminate free trial offers at any time without notice. Free trials are limited to one per user, household, or payment method. Any attempt to circumvent this limitation, including creating multiple accounts, may result in termination of your Account. TickrPulse may require a valid payment method to be on file before activating a free trial. No charges will be made during the trial period unless your trial converts to a paid subscription.

Cancellation and Refunds

You may cancel your subscription at any time through your Account settings or by contacting our support team at support@tickrpulse.io. Upon cancellation, your subscription will remain active until the end of the current billing period. You will continue to have access to paid features until the expiration of the period for which you have already paid. TickrPulse does not provide refunds for partial billing periods, unused subscription time, or any fees already charged. All subscription fees are non-refundable except as expressly stated herein or as required by applicable law. In the event that TickrPulse materially reduces the features or functionality of your subscription plan without prior notice, you may be entitled to a pro-rated refund for the remaining unused portion of your current billing period, at TickrPulse's sole discretion. TickrPulse reserves the right to offer refunds, credits, or other compensation at its sole and absolute discretion, on a case-by-case basis. Any refund or credit provided in one instance does not entitle you to a refund or credit in the future under similar or different circumstances. For users in the European Union, you have the right to cancel your subscription within fourteen (14) days of purchase without giving any reason, in accordance with the EU Consumer Rights Directive. To exercise this right, you must contact us at legal@tickrpulse.io within the 14-day period. If you have accessed or used the Service during this period, we may deduct a proportionate amount from the refund.

Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You are responsible for ensuring that your use of the Service complies with all applicable local, state, national, and international laws and regulations. You agree not to: (a) use the Service in any way that violates any applicable law or regulation; (b) use the Service for any purpose that is unlawful, fraudulent, or harmful; (c) attempt to gain unauthorized access to any portion of the Service, other users' accounts, or any computer systems or networks connected to the Service; (d) use the Service to transmit any malware, viruses, worms, Trojan horses, or other malicious or harmful code; (e) interfere with or disrupt the integrity or performance of the Service or its underlying infrastructure; (f) use any automated system, including bots, crawlers, scrapers, or data mining tools, to access the Service except through our authorized API; (g) attempt to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service; (h) remove, alter, or obscure any copyright, trademark, or other proprietary notices from the Service; (i) resell, redistribute, sublicense, or commercially exploit the Service or any data obtained through the Service without prior written consent from TickrPulse; (j) use the Service to manipulate or attempt to manipulate any financial market or instrument; or (k) use the Service in any manner that could damage, disable, overburden, or impair the Service.

Prohibited Conduct

In addition to the restrictions set forth in the Acceptable Use Policy, you expressly agree not to engage in any of the following prohibited conduct: (a) Market Manipulation: Using any data, alerts, or analysis from the Service to engage in market manipulation, spoofing, layering, wash trading, pump-and-dump schemes, or any other form of market abuse prohibited under applicable securities laws. (b) Unauthorized Data Distribution: Redistributing, reselling, publishing, broadcasting, or otherwise making available any Market Data obtained through the Service to any third party without express written authorization from TickrPulse and, where applicable, from the relevant data providers and exchanges. (c) Circumvention: Attempting to circumvent any technical measures, security features, access controls, rate limits, or usage restrictions implemented by TickrPulse. (d) Impersonation: Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity. (e) Harassment: Using the Service to harass, abuse, threaten, or intimidate any other user or any TickrPulse employee. (f) Excessive Load: Placing an unreasonable or disproportionately large load on the Service's infrastructure, including through excessive API calls, automated requests, or denial-of-service activities. Violation of these prohibitions may result in immediate termination of your Account, legal action, and referral to appropriate law enforcement authorities.

Intellectual Property Rights

The Service, including but not limited to its source code, algorithms, user interface design, layout, graphics, logos, icons, trade names, trademarks (including "TickrPulse"), documentation, and all Content created by TickrPulse, is the exclusive property of TickrPulse or its licensors and is protected by copyright, trademark, patent, trade secret, and other intellectual property laws of the United States, Israel, and international jurisdictions. Your subscription to and use of the Service grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your personal, non-commercial use (or authorized business use, as applicable to your subscription plan), subject to these Terms. You may not: (a) copy, modify, adapt, translate, or create derivative works based on the Service; (b) reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, algorithms, or underlying technology of the Service; (c) rent, lease, lend, sell, sublicense, or transfer the Service or any rights therein; (d) use the TickrPulse name, logo, or trademarks without prior written consent; or (e) remove any proprietary notices from any Content obtained through the Service. All rights not expressly granted to you in these Terms are reserved by TickrPulse. No implied licenses are granted under these Terms.

User Content and Data

You retain all ownership rights in and to any User Content that you create, upload, or store through the Service, including watchlists, journal entries, alert configurations, and portfolio data. By using the Service, you grant TickrPulse a limited, non-exclusive, worldwide, royalty-free license to store, process, and display your User Content solely for the purpose of providing the Service to you. You represent and warrant that: (a) you own or have the necessary rights to your User Content; (b) your User Content does not infringe upon the intellectual property rights, privacy rights, or any other rights of any third party; and (c) your User Content does not contain any unlawful, defamatory, or objectionable material. TickrPulse does not claim ownership of your User Content and will not use, share, sell, or disclose your User Content for any purpose other than providing the Service to you, except as described in our Privacy Policy or as required by applicable law. Upon termination of your Account, TickrPulse will delete your User Content within a reasonable period, subject to any legal retention obligations. You are responsible for exporting or backing up your User Content before termination.

Third-Party Data Providers and Market Data

The Market Data displayed through the Service is sourced from various Third-Party Data Providers, including but not limited to financial exchanges, market data vendors, news agencies, and public data sources. TickrPulse does not generate, create, or independently verify the accuracy, completeness, or timeliness of any Market Data. You acknowledge and agree that: (a) Market Data may be delayed by fifteen (15) minutes or more depending on the data source, exchange, and your subscription tier; (b) real-time data, where available, may contain temporary errors, inaccuracies, or interruptions; (c) Market Data is provided on an "as-is" and "as-available" basis without any representation or warranty of accuracy, completeness, or reliability; (d) TickrPulse is not responsible for any errors, omissions, interruptions, or delays in Market Data, regardless of cause; and (e) the terms of our data redistribution agreements with Third-Party Data Providers may impose additional restrictions on your use of Market Data. Third-Party Data Providers expressly disclaim all warranties, express or implied, regarding the Market Data, including any warranties of merchantability, fitness for a particular purpose, accuracy, completeness, or timeliness. Under no circumstances shall TickrPulse or any Third-Party Data Provider be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your reliance on or use of Market Data. Financial exchanges and data providers retain all intellectual property rights in their respective data. Your use of Market Data through the Service is subject to the terms and conditions imposed by the applicable exchanges and data providers.

Data Accuracy and Reliability Disclaimer

TICKRPULSE RELIES ENTIRELY ON THIRD-PARTY DATA PROVIDERS, FINANCIAL EXCHANGES, AND PUBLIC SOURCES FOR ALL MARKET DATA DISPLAYED THROUGH THE PLATFORM. TICKRPULSE DOES NOT INDEPENDENTLY VERIFY, AUDIT, OR GUARANTEE THE ACCURACY, COMPLETENESS, TIMELINESS, RELIABILITY, OR AVAILABILITY OF ANY DATA. MARKET DATA MAY BE DELAYED, INACCURATE, INCOMPLETE, OR TEMPORARILY UNAVAILABLE DUE TO FACTORS INCLUDING BUT NOT LIMITED TO: (A) DELAYS IN DATA TRANSMISSION FROM EXCHANGES OR DATA PROVIDERS; (B) TECHNICAL ERRORS AT THE SOURCE; (C) NETWORK LATENCY OR INFRASTRUCTURE ISSUES; (D) EXCHANGE HALTS, CIRCUIT BREAKERS, OR TRADING SUSPENSIONS; (E) DATA PROVIDER OUTAGES OR MAINTENANCE; (F) DIFFERENCES IN DATA CALCULATION METHODOLOGIES ACROSS PROVIDERS; OR (G) ANY OTHER FACTOR BEYOND TICKRPULSE'S CONTROL. YOU ACKNOWLEDGE THAT SMALL DISCREPANCIES IN PRICE DATA, VOLUME DATA, OR OTHER METRICS MAY EXIST BETWEEN THE PLATFORM AND OTHER DATA SOURCES. THESE DISCREPANCIES DO NOT CONSTITUTE A DEFECT IN THE SERVICE. TICKRPULSE EXPRESSLY DISCLAIMS ALL LIABILITY FOR ANY TRADING OR INVESTMENT DECISIONS MADE BASED ON DATA DISPLAYED THROUGH THE PLATFORM.

AI and Algorithmic Analysis Disclaimer

The Platform uses artificial intelligence (AI), machine learning, and algorithmic systems to detect anomalies, identify patterns, analyze market sentiment, generate alerts, and provide other analytical features. You acknowledge and agree to the following: (a) AI-generated outputs, including anomaly detections, pattern identifications, sentiment analyses, and alerts, are produced by automated algorithms and are provided for INFORMATIONAL PURPOSES ONLY. They are not predictions of future price movements, trading signals, or investment recommendations. (b) AI systems may produce false positives (flagging normal market activity as anomalous) or false negatives (failing to detect actual anomalies). No AI system is perfect, and the absence of an alert does not mean that no anomaly or significant market event has occurred. (c) AI analyses should NOT be relied upon as the sole or primary basis for any investment, trading, or financial decision. They are supplementary informational tools only. (d) Backtesting results generated by the Platform are based on historical data and hypothetical scenarios. Past performance and historical patterns are NOT indicative of future results. Backtesting does not account for all market conditions, fees, slippage, liquidity, or other real-world factors that affect actual trading outcomes. (e) AI models may be updated, modified, or replaced at any time, which may cause changes in the types, frequency, or accuracy of anomaly detections and alerts. (f) The AI features are provided "as is" without any warranty regarding accuracy, reliability, completeness, or fitness for any particular purpose. (g) In accordance with the EU AI Act (Regulation 2024/1689), all AI-generated content and detections on the Platform are clearly labeled as AI-generated. TickrPulse's AI systems are classified as minimal risk and are used solely for informational market data analysis.

Risk Acknowledgment

BY USING THE SERVICE, YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT: (a) TRADING AND INVESTING IN FINANCIAL MARKETS, INCLUDING STOCKS, CRYPTOCURRENCIES, FOREX, COMMODITIES, INDICES, AND BONDS, INVOLVES SUBSTANTIAL RISK OF LOSS AND IS NOT SUITABLE FOR ALL INVESTORS. YOU COULD LOSE ALL OR A SIGNIFICANT PORTION OF YOUR INVESTED CAPITAL. (b) CRYPTOCURRENCY MARKETS ARE PARTICULARLY VOLATILE, LARGELY UNREGULATED, AND SUBJECT TO RAPID AND SUBSTANTIAL PRICE FLUCTUATIONS. CRYPTOCURRENCY INVESTMENTS CARRY UNIQUE RISKS INCLUDING REGULATORY UNCERTAINTY, TECHNOLOGICAL RISKS, AND MARKET MANIPULATION. ANY DECISION TO BUY, SELL, OR HOLD ANY FINANCIAL INSTRUMENT IS ENTIRELY YOUR OWN. (f) YOU ARE SOLELY RESPONSIBLE FOR EVALUATING THE MERITS AND RISKS OF EACH INVESTMENT OR TRADING DECISION YOU MAKE. YOU SHOULD NEVER INVEST MORE THAN YOU CAN AFFORD TO LOSE.

No Performance Guarantees

TickrPulse does not and cannot guarantee any specific results, outcomes, returns, or performance from your use of the Service. No statement, representation, or content on the Platform shall be construed as a guarantee of performance. The Service is provided as a technological tool for market data analysis, and the results obtained from using the Service will vary depending on numerous factors beyond TickrPulse's control, including market conditions, user skill, timing, and other variables. Any statistics, metrics, or performance data displayed on the Platform (such as "50K+ assets tracked" or "24/7 AI monitoring") refer to the capabilities of the Platform itself and should not be interpreted as guarantees of trading performance, investment returns, or financial outcomes for any user. Testimonials, reviews, or case studies displayed on the Platform represent the individual experiences and opinions of specific users and do not constitute a guarantee that you will achieve similar results. Individual results may vary significantly.

Warranty Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, TICKRPULSE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: (A) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT; (B) WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE FROM VIRUSES, MALWARE, OR OTHER HARMFUL COMPONENTS; (C) WARRANTIES THAT ANY DATA, INFORMATION, CONTENT, OR ANALYSIS PROVIDED THROUGH THE SERVICE WILL BE ACCURATE, COMPLETE, RELIABLE, CURRENT, OR TIMELY; (D) WARRANTIES THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE, RELIABLE, OR SUITABLE FOR ANY PURPOSE; (E) WARRANTIES THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS, EXPECTATIONS, OR NEEDS; (F) WARRANTIES THAT DEFECTS IN THE SERVICE WILL BE CORRECTED; (G) WARRANTIES REGARDING THE QUALITY, ACCURACY, TIMELINESS, OR COMPLETENESS OF ANY CONTENT OR DATA FROM THIRD-PARTY DATA PROVIDERS; (H) ANY WARRANTY ARISING FROM COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM TICKRPULSE, ITS EMPLOYEES, AGENTS, OR THE SERVICE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. IN SUCH JURISDICTIONS, THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY APPLICABLE LAW. IN SUCH CASES, TICKRPULSE'S WARRANTIES SHALL BE LIMITED TO THE MINIMUM EXTENT PERMITTED BY LAW.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TICKRPULSE, ITS PARENT COMPANY, SUBSIDIARIES, AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, LICENSORS, OR SUPPLIERS (COLLECTIVELY, THE "TICKRPULSE PARTIES") BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY AMOUNT EXCEEDING THE GREATER OF: (A) THE TOTAL FEES ACTUALLY PAID BY YOU TO TICKRPULSE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100 USD). THIS LIMITATION OF LIABILITY APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTORY LIABILITY, OR ANY OTHER LEGAL THEORY, AND REGARDLESS OF WHETHER TICKRPULSE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION OF LIABILITY SHALL NOT APPLY TO: (A) TICKRPULSE'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT; (B) TICKRPULSE'S FRAUD OR FRAUDULENT MISREPRESENTATION; (C) DEATH OR PERSONAL INJURY CAUSED BY TICKRPULSE'S NEGLIGENCE; OR (D) ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. IN SUCH JURISDICTIONS, TICKRPULSE'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

Exclusion of Consequential and Incidental Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE TICKRPULSE PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO: (A) LOSS OF PROFITS, REVENUE, BUSINESS, OR ANTICIPATED SAVINGS; (B) LOSS OF DATA, GOODWILL, OR REPUTATION; (C) TRADING LOSSES OR INVESTMENT LOSSES OF ANY KIND; (D) MISSED TRADING OPPORTUNITIES OR MARKET MOVEMENTS; (E) COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; (F) BUSINESS INTERRUPTION OR DOWNTIME; (G) LOSS OR CORRUPTION OF DATA OR USER CONTENT; (H) ANY LOSS ARISING FROM YOUR RELIANCE ON DATA, ALERTS, ANALYSES, OR OTHER CONTENT PROVIDED THROUGH THE SERVICE; (I) ANY LOSS ARISING FROM DELAYS, INACCURACIES, OR INTERRUPTIONS IN MARKET DATA; (J) ANY LOSS ARISING FROM THE PERFORMANCE OR NON-PERFORMANCE OF AI FEATURES; (K) ANY LOSS ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR ACCOUNT OR DATA; REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, VIOLATION OF STATUTE, OR ANY OTHER LEGAL THEORY, AND EVEN IF TICKRPULSE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR COULD HAVE FORESEEN SUCH DAMAGES.

Indemnification

You agree to indemnify, defend, and hold harmless the TickrPulse Parties from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and legal costs) arising from or related to: (a) Your use or misuse of the Service; (b) Your violation of these Terms or any applicable law or regulation; (c) Your violation of any rights of any third party, including intellectual property rights, privacy rights, or contractual rights; (d) Any investment, trading, or financial decision you make based on or influenced by information obtained through the Service; (e) Any content you submit, post, or transmit through the Service; (f) Your negligence, willful misconduct, or fraud; (g) Your failure to maintain the security of your Account credentials; (h) Your sharing of Account credentials with unauthorized third parties; (i) Any claim by a third party arising from your authorized users' access to or use of the Service; (j) Your redistribution, resale, or unauthorized use of Market Data or any Content from the Service; (k) Any tax liability arising from your use of the Service or from financial transactions influenced by information obtained through the Service. TickrPulse reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate fully with TickrPulse in asserting any available defenses. This indemnification obligation shall survive the termination of your Account and these Terms.

Force Majeure

Neither TickrPulse nor you shall be liable for any failure or delay in performing obligations under these Terms where such failure or delay results from any cause that is beyond the reasonable control of the affected party (a "Force Majeure Event"), including but not limited to: (a) Acts of God, flood, fire, earthquake, volcanic eruption, tornado, hurricane, typhoon, or other natural disasters; (b) Epidemic, pandemic, or public health emergency (including but not limited to COVID-19 and any future pandemics); (c) War, invasion, act of foreign enemies, hostilities, civil war, terrorism, riot, civil unrest, or military action; (d) Government orders, laws, regulations, actions, restrictions, sanctions, embargoes, or blockades; (e) Cyberattacks, distributed denial of service (DDoS) attacks, ransomware, hacking, or other malicious cyber activities directed at the Platform, its infrastructure, or its third-party service providers, provided that the affected party maintained commercially reasonable security measures; (f) Failures, outages, degradation, or security breaches of third-party cloud infrastructure providers, hosting services, content delivery networks, or data feed providers (including but not limited to Vercel, Cloudflare, AWS, and any financial data providers); (g) Interruption, failure, or degradation of third-party financial data feeds, market data providers, stock exchange systems, cryptocurrency exchange systems, or any other external data source; (h) Power outages, utility failures, or energy crises; (i) Internet service provider failures, telecommunications infrastructure failures, submarine cable cuts, or satellite failures; (j) Strikes, labor disputes, lockouts, or industrial action; (k) Changes in applicable laws, regulations, or regulatory requirements; (l) National or regional emergency declarations; (m) Supply chain disruptions affecting technology infrastructure; (n) Any other event beyond the reasonable control of the affected party. The obligation to mitigate damages remains in effect during any Force Majeure Event. The affected party shall use commercially reasonable efforts to resume performance as soon as practicable.

Third-Party Services and Links

The Service may contain links to, or integrations with, third-party websites, services, applications, or resources that are not owned or controlled by TickrPulse. These include but are not limited to payment processors, email service providers, analytics services, cloud infrastructure providers, and social media platforms. TickrPulse does not endorse, warrant, or assume any responsibility for the content, privacy policies, practices, or availability of any third-party websites or services. You acknowledge and agree that TickrPulse shall not be responsible or liable, directly or indirectly, for any damage, loss, or expense caused or alleged to be caused by or in connection with the use of or reliance on any content, goods, or services available on or through any third-party websites or services. Your interactions with third-party services are governed solely by the terms and conditions and privacy policies of those third parties. We strongly recommend that you read the terms and privacy policies of any third-party service that you interact with through or in connection with the Platform.

Privacy and Data Protection

Your privacy is important to us. Our collection, use, storage, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy. TickrPulse is committed to complying with applicable data protection laws, including the EU General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA), the Israeli Privacy Protection Law (as amended by Amendment 13), and other applicable data protection regulations. Confidentiality

TickrPulse treats your Account information, User Content, and personal data as confidential. We will not disclose your confidential information to third parties except: (a) as described in our Privacy Policy; (b) with your express consent; (c) to comply with applicable law, regulation, legal process, or governmental request; (d) to enforce these Terms; (e) to protect the rights, property, or safety of TickrPulse, its users, or the public; or (f) in connection with a merger, acquisition, or sale of all or substantially all of TickrPulse's assets, subject to the acquiring entity agreeing to be bound by confidentiality obligations no less protective than those set forth herein. You agree not to disclose any proprietary or confidential information about the Service, including its underlying technology, algorithms, pricing structures, or business strategies, that may be disclosed to you in connection with your use of the Service.

Termination

TickrPulse may suspend or terminate your Account and access to the Service at any time, with or without cause, and with or without notice, including but not limited to situations where: (a) you have breached any provision of these Terms; (b) we are required to do so by law, court order, or regulatory authority; (c) providing the Service to you becomes commercially impracticable or technically infeasible; (d) your Account has been inactive for an extended period; (e) we detect suspicious, fraudulent, or illegal activity on your Account; or (f) we discontinue the Service or any part thereof. You may terminate your Account at any time by contacting support@tickrpulse.io or through your Account settings. Termination of your Account does not relieve you of any obligations incurred prior to termination, including any outstanding payment obligations.

Effect of Termination

Upon termination of your Account: (a) your right to access and use the Service will immediately cease; (b) any outstanding payment obligations will become immediately due and payable; (c) TickrPulse will delete your User Content within a commercially reasonable period, subject to any legal retention obligations; (d) any licenses granted to you under these Terms will immediately terminate; and (e) TickrPulse will have no obligation to maintain or provide access to any of your data. The following sections of these Terms shall survive termination: Definitions, Not Financial Advice, Risk Acknowledgment, Warranty Disclaimer, Limitation of Liability, Exclusion of Damages, Indemnification, Governing Law, Dispute Resolution, Class Action Waiver, Confidentiality, and any other provisions that by their nature should survive termination.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. This choice of law applies regardless of where you are located or where you access the Service. Notwithstanding the foregoing: (a) if you are a consumer residing in the European Union, European Economic Area, or United Kingdom, nothing in these Terms shall deprive you of the protection afforded to you by mandatory provisions of the consumer protection laws of your country of residence; (b) if you are a resident of Israel, you may also bring disputes before the competent courts of Tel Aviv-Jaffa, Israel; and (c) applicable local consumer protection laws in your jurisdiction may provide additional rights that cannot be waived by contract.

Dispute Resolution and Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS. Informal Resolution First: Before initiating any formal dispute resolution proceeding, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") informally by contacting TickrPulse at legal@tickrpulse.io with a written description of the Dispute. The parties shall negotiate in good faith for a period of at least sixty (60) days before commencing any formal proceeding. Binding Arbitration: If the Dispute cannot be resolved informally within sixty (60) days, any remaining Dispute shall be finally and exclusively resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator selected in accordance with the AAA rules. The arbitration shall be conducted in English. The seat of arbitration shall be Wilmington, Delaware, United States. The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court having jurisdiction thereof. Limitations on Arbitration: The arbitrator may award only individual relief. The arbitrator shall not have the power to: (a) consolidate more than one person's claims; (b) preside over any form of class, consolidated, or representative proceeding; or (c) award relief that would affect persons or entities other than the parties. Opt-Out Right: You may opt out of the arbitration and class action waiver provisions within thirty (30) days of your first use of the Service by sending a written notice to legal@tickrpulse.io clearly stating your intent to opt out. If you opt out, you and TickrPulse agree to resolve Disputes exclusively in the federal or state courts located in Delaware. Small Claims Court: Notwithstanding the foregoing, either party may bring an individual action in small claims court for Disputes within the court's jurisdictional limits. Exceptions: This arbitration agreement does not apply to claims for injunctive or equitable relief in aid of arbitration, or claims regarding intellectual property rights.

Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND TICKRPULSE AGREE THAT EACH PARTY MAY ONLY BRING CLAIMS AGAINST THE OTHER IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLASS MEMBER, OR PARTICIPANT IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY AWARD RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF WARRANTED BY THAT PARTY'S INDIVIDUAL CLAIM. IMPORTANT INTERNATIONAL EXCEPTION: If the law of your jurisdiction prohibits the limitation on bringing class actions or collective redress mechanisms, this class action waiver does not apply to you. In particular, this waiver does not apply to users residing in: (a) the European Union or European Economic Area, where collective redress mechanisms under the Representative Actions Directive (2020/1828) may apply; (b) France, where class action waivers are prohibited by law; (c) Israel, where mandatory arbitration clauses waiving class action rights may be unenforceable in consumer contexts under the Class Action Law, 5766-2006; or (d) any other jurisdiction where such waivers are prohibited by mandatory law. IF THIS CLASS ACTION WAIVER IS FOUND TO BE UNENFORCEABLE IN YOUR JURISDICTION, THEN THE ENTIRETY OF THE ARBITRATION AGREEMENT SHALL BE NULL AND VOID WITH RESPECT TO YOU, AND DISPUTES SHALL BE RESOLVED IN THE COURTS SPECIFIED IN THE GOVERNING LAW SECTION.

International Users

The Service is controlled and operated from Israel and the United States. If you access the Service from outside these jurisdictions, you do so at your own risk and are responsible for compliance with all applicable local laws and regulations in your jurisdiction. TickrPulse makes no representation or warranty that the Service, or any Content or data available through the Service, is appropriate, available, or legally permissible for use in your jurisdiction. Access to the Service from jurisdictions where the Content or Service is illegal or restricted is prohibited. Users in certain jurisdictions may have additional rights under local consumer protection, data protection, or financial services laws that cannot be waived by contract. Nothing in these Terms is intended to override such mandatory legal protections. If there is a conflict between these Terms and any mandatory law in your jurisdiction, the mandatory law shall prevail to the extent of the inconsistency.

Modifications to These Terms

TickrPulse reserves the right to modify, amend, update, or replace these Terms at any time and at our sole discretion. We will notify you of material changes by: (a) posting the updated Terms on the Platform with a revised "last updated" date; (b) sending a notification through the Platform; and/or (c) sending an email to the address associated with your Account. Material changes will become effective thirty (30) days after notification, unless a longer period is required by applicable law. Non-material changes, including corrections of typographical errors or clarifications, may take effect immediately upon posting. Your continued use of the Service after the effective date of any modified Terms constitutes your acceptance of such changes. If you do not agree with any modification, you must stop using the Service and cancel your subscription before the changes take effect. We recommend that you review these Terms periodically to stay informed of any updates. The "last updated" date at the top of this page indicates when these Terms were most recently revised.

Severability

If any provision of these Terms is held to be invalid, illegal, void, or unenforceable by a court of competent jurisdiction or arbitrator, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity or unenforceability of any provision shall not affect the validity or enforceability of the remaining provisions of these Terms, which shall continue in full force and effect. If any provision of these Terms is found to be overly broad in scope, duration, or geographic area, it shall be construed to be limited to the maximum extent permitted by applicable law.

Waiver

The failure of TickrPulse to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of TickrPulse. No waiver shall be deemed a continuing waiver or waiver of any other provision. A single or partial exercise of any right or remedy does not preclude any other or further exercise of that or any other right or remedy.

Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, and any additional terms or policies referenced herein, constitute the entire agreement between you and TickrPulse regarding the use of the Service. These Terms supersede all prior and contemporaneous agreements, proposals, representations, warranties, and understandings, whether written or oral, between the parties with respect to the subject matter hereof. In the event of a conflict between these Terms and any other policy or agreement referenced herein, these Terms shall control unless the other policy or agreement expressly states that it supersedes these Terms on a specific point.

Assignment

You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms without the prior written consent of TickrPulse. Any attempted assignment without such consent shall be null and void. TickrPulse may freely assign, transfer, or delegate these Terms or any rights and obligations hereunder, in whole or in part, to any third party, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets, without your consent and without notice. In the event of such assignment, the assignee shall be bound by these Terms.

Notices

All legal notices to TickrPulse must be sent in writing to legal@tickrpulse.io. Notices to you may be provided through the Platform, by email to the address associated with your Account, or by any other reasonable means. Notices sent by email shall be deemed received on the date sent, provided no bounce-back or delivery failure notification is received.

Export Compliance and Sanctions

You agree to comply with all applicable export control laws, sanctions, and restrictions, including those of the United States, the European Union, and Israel. You represent and warrant that: (a) you are not located in, or a citizen or resident of, a country or territory that is subject to comprehensive economic sanctions; (b) you are not listed on any sanctioned party list, including the U.S. Treasury Department's Office of Foreign Assets Control (OFAC) Specially Designated Nationals List, the EU Consolidated Financial Sanctions List, or any similar list; and (c) you will not use the Service in violation of any applicable export control or sanctions laws.
